Terms of Service

These Terms of Service (the "Terms") govern access to and use of the Synthweave platform, available at synthweave.ai and app.synthweave.ai, together with related APIs and integrations (the "Service"), provided by Synthweave LLC ("Synthweave," "we," "us," "our"). By creating an account or using the Service, you agree to these Terms. If you use the Service on behalf of an organization, you agree on that organization's behalf and represent that you have authority to do so.

1. The Service

Synthweave provides a shared-context platform for teams and AI agents: it stores team knowledge, coordinates work, and, where a customer connects third-party platforms, carries out operations on those platforms at the customer's instruction, including advertising operations through platform APIs.

2. Accounts

You must provide accurate account information and keep your credentials secure. You are responsible for activity under your account. Notify us promptly of any unauthorized use.

3. Your content

You retain all rights to the content you or your team store in the Service ("Customer Content"). You grant us a limited license to host, process, and display Customer Content solely to provide the Service. We do not sell Customer Content and we do not use it to train foundation models.

4. Connected platforms

The Service can connect to third-party platforms (including Meta Business assets) with the permissions you grant. By connecting a platform, you represent that:

  • You have the authority to grant that access, including for any client accounts you manage.
  • Your use of the connection complies with the third party's terms (for Meta, the Meta Platform Terms and Commercial Terms).
  • You are responsible for the instructions you give the Service to execute on connected platforms, including advertising spend those instructions cause.

You can revoke a platform connection at any time. Third-party platforms are governed by their own terms and privacy policies.

5. AI features and outputs

The Service uses artificial-intelligence models. AI-generated output can be inaccurate or incomplete. You are responsible for reviewing output before relying on it or publishing it, including advertising content subject to legal or platform rules. AI features are provided as tools; final decisions are yours.

6. Acceptable use

  • Do not use the Service to violate law, third-party rights, or third-party platform policies.
  • Do not attempt to gain unauthorized access to the Service or its systems.
  • Do not resell or provide the Service to third parties except as agreed with us in writing.
  • Do not introduce malware or interfere with the Service's operation.
  • Do not use the Service to create deceptive, fraudulent, or unlawful advertising.

We may suspend accounts that violate this section.

7. Fees

Paid plans are billed as described at purchase. Fees are non-refundable except where required by law. We may change pricing with advance notice; changes apply at your next renewal.

8. Term and termination

You may stop using the Service and close your account at any time. We may suspend or terminate access for material breach of these Terms, with notice where practicable. On termination, we delete Customer Content and connected-platform data per our Privacy Policy retention terms.

9. Disclaimers

The Service is provided "as is" and "as available." To the maximum extent permitted by law, we disclaim all warranties, express or implied, including merchantability, fitness for a particular purpose, and non-infringement. We do not warrant that the Service will be uninterrupted or error-free, or that AI output will be accurate.

10. Limitation of liability

To the maximum extent permitted by law: (a) neither party is liable for indirect, incidental, special, consequential, or punitive damages, or lost profits or revenues; and (b) our total liability under these Terms is limited to the amounts you paid us for the Service in the twelve months before the claim arose. These limits do not apply to your payment obligations or to either party's liability that cannot be limited by law.

11. Indemnity

You will defend and indemnify us against third-party claims arising from your Customer Content, your instructions to the Service, or your breach of Section 4 (Connected platforms) or Section 6 (Acceptable use).

12. Governing law

These Terms are governed by the laws of the State of Delaware, without regard to conflict-of-law rules. Disputes will be resolved in the state or federal courts located in Delaware, and the parties consent to their jurisdiction.

13. Changes to these Terms

We may update these Terms from time to time. We will post the updated version at this URL with a revised "Last updated" date and, for material changes, notify account holders by email or in the Service. Continued use after the effective date constitutes acceptance.
